1. Acceptance of These Terms
These Terms of Use govern access to and use of the website operated by TMA LLC-FZ, including pages, content, contact forms, payment links, checkout pages, documents, graphics, brand materials and other information made available through https://tma.tech.
By accessing the website, submitting an enquiry, using a payment link, communicating with TMA through the website or otherwise using any website feature, you agree to these Terms of Use. If you do not agree, you should not use the website.
If you use the website on behalf of a company, organisation or other legal entity, you represent that you have authority to act on behalf of that entity and that the entity accepts these Terms of Use.
A separate written agreement, proposal, statement of work, order form, invoice, payment link, checkout page or other signed or accepted commercial document may apply to a particular engagement. If there is a conflict between these website Terms of Use and a separate written agreement with TMA, the separate written agreement will control for the relevant engagement.
2. About TMA
TMA LLC-FZ is an enterprise technology company based at Meydan Free Zone, Dubai, United Arab Emirates. TMA's activities may include software engineering, application infrastructure, systems integration, software publishing, technical architecture, operational technology support and software intellectual-property development.
The website provides general corporate, technical and commercial information about TMA. It does not by itself create a customer relationship, supplier relationship, partnership, joint venture, employment relationship, agency relationship, fiduciary relationship or professional advisory relationship.
TMA may change, expand, reduce or discontinue website content, service descriptions, pages, features or communications channels at any time without obligation to maintain any particular website feature.
3. Website Use and Eligibility
The website is intended for lawful business, professional and informational use. You may view the website, submit genuine business enquiries, review corporate information, use published contact details and complete payment or checkout interactions that TMA has made available to you.
You must be legally capable of entering into binding obligations in your jurisdiction and must not be prohibited from using the website under applicable law, sanctions rules or other restrictions.
You are responsible for ensuring that your access to and use of the website is lawful in your location and consistent with the rules that apply to your organisation.
4. Acceptable Use
You must not misuse the website, interfere with its operation, attempt to gain unauthorised access to systems or data, bypass security controls, probe or scan infrastructure without permission, introduce malicious code, overload the website, scrape content at unreasonable volume or use the website in a way that could damage TMA, its customers, its providers or any third party.
You must not submit false, misleading, unlawful, defamatory, infringing, confidential, malicious, obscene, abusive or harmful material through the website. You must not impersonate another person or organisation or misrepresent your authority to act on behalf of an organisation.
You must not use the website to send unsolicited advertising, spam, phishing messages, malware, credential-harvesting attempts, fraudulent payment attempts or any communication that violates applicable law or third-party rights.
TMA may restrict, block, suspend or investigate access to the website where it reasonably believes that misuse, security risk, fraud, unlawful activity or breach of these Terms has occurred.
5. Business Enquiries and No Obligation to Engage
Submitting an enquiry, request for information, procurement request, payment request, support request or other communication does not require TMA to accept any project, provide services, reserve capacity, respond within a particular timeframe or enter into a commercial relationship.
TMA may decline enquiries, request further information, conduct due diligence, require written contracts, require prepayment, reject a payment, refund a payment, terminate discussions or stop communications where it considers this appropriate for legal, commercial, operational, compliance or reputational reasons.
Any dates, timelines, availability statements, estimates, service descriptions, examples or pricing indications on the website are general only unless confirmed in a written agreement, accepted proposal, invoice or payment page issued by TMA.
6. Services, Proposals and Deliverables
TMA may provide technology services such as software development, application infrastructure design, systems integration, software architecture, deployment planning, operational support, documentation, technical review, maintenance, enhancement work, software publishing support or related advisory and implementation services.
The actual scope, deliverables, assumptions, exclusions, dependencies, responsibilities, acceptance criteria, support level, fees, expenses, intellectual-property treatment and timeline for any service will be set out in the relevant written agreement, proposal, statement of work, invoice, payment page or other commercial document.
Unless expressly agreed in writing, website content is not a binding technical specification, service level agreement, warranty, roadmap commitment or commitment to deliver a particular feature, technology, integration, result, regulatory outcome, uptime level or business outcome.
Customer cooperation may be required for TMA to perform services. This may include timely access to systems, accurate information, credentials, technical documentation, project decisions, approvals, test data, environments, personnel, third-party providers, procurement approvals and payment of fees.
7. Payments, Billing and Stripe Checkout
TMA may charge customers through invoices, bank transfer instructions, Stripe-hosted checkout pages, Stripe payment links, subscription billing, milestone invoices, upfront retainers, renewal invoices or another payment method agreed with the customer.
Unless a separate written agreement says otherwise, charges may be requested before work begins, at checkout, on invoice issue, on milestone completion, on subscription renewal, on delivery of agreed work, or according to another billing schedule communicated by TMA.
You are responsible for providing accurate billing, tax, contact and payment information and for ensuring that you are authorised to use the selected payment method. Payments may be processed by third-party payment providers such as Stripe under their own terms, privacy notices and risk controls.
A successful card authorisation, checkout submission or payment does not by itself require TMA to provide services that have not been agreed in writing. If a payment is received for an enquiry or scope that TMA does not accept, TMA may refund the payment or apply it according to a written agreement with the customer.
Unless otherwise agreed in writing, fees are exclusive of any applicable taxes, bank charges, card fees, currency-conversion charges, withholding, duties or government charges. The customer is responsible for such amounts where applicable.
Refunds, credits, cancellations and charge adjustments are handled according to the relevant written agreement, invoice, payment page or applicable law. For bespoke technology work, setup work, consulting time, implementation time, engineering time, licence preparation, access fees, subscriptions or third-party costs, refunds may be limited once work has begun or costs have been incurred, unless the applicable agreement states otherwise.
8. Customer Materials and Responsibilities
You are responsible for the accuracy, legality, completeness and suitability of information, documents, data, instructions, credentials, systems access, technical requirements and materials you provide to TMA.
You must not provide TMA with confidential, sensitive, regulated, personal or third-party information unless you have the right to do so and the information is necessary for the relevant engagement. You are responsible for providing required notices, consents, approvals and lawful bases for information you make available to TMA.
You retain ownership of customer materials you provide to TMA, subject to any licences, permissions or rights needed for TMA to review, process, host, modify, transmit, test, secure, back up, display or otherwise use those materials to respond to your enquiry or perform agreed services.
TMA may rely on customer-provided information without independently verifying every fact, requirement, dependency or legal assumption. TMA is not responsible for delays, defects, non-compliance or losses caused by incomplete, inaccurate, late or unauthorised customer materials or instructions.
9. Intellectual Property
The TMA name, logo, brand assets, website design, visual identity, copy, diagrams, layouts, user-interface concepts, software, code, documentation, know-how, workflows, templates and other materials on the website are owned by TMA or licensed to TMA unless stated otherwise.
You may view website content for ordinary business-information purposes. You may not copy, reproduce, modify, publish, distribute, scrape, frame, reverse engineer, decompile, translate, sell, license, exploit or create derivative works from website content without TMA's prior written permission, except to the extent permitted by applicable law.
TMA reserves all rights not expressly granted. No website content transfers ownership of TMA intellectual property, software, source code, trade secrets, methodologies, know-how, templates, frameworks, architecture patterns or other proprietary materials.
Ownership and usage rights for deliverables created under a customer engagement will be governed by the applicable written agreement. In the absence of a written agreement stating otherwise, TMA retains ownership of its pre-existing materials, reusable components, tools, methods, know-how, generic code, libraries, templates, internal processes and intellectual property developed independently of a specific customer assignment.
If you send ideas, suggestions, feedback or improvement requests to TMA, TMA may use them without obligation to compensate you, unless a written agreement states otherwise.
10. Confidentiality
Website communications are not automatically subject to a formal non-disclosure agreement. If confidential treatment is required, the parties should enter into an appropriate written confidentiality agreement before sensitive information is exchanged.
TMA will use reasonable care in handling business information received through ordinary enquiries, but you should avoid submitting trade secrets, credentials, highly confidential materials, regulated data, personal documents or sensitive customer data through public website forms or unsecured email.
Where a separate confidentiality agreement, services agreement or data-processing agreement applies, confidentiality obligations will be governed by that agreement.
11. Privacy and Data Protection
TMA's handling of personal information through the website, business communications and payment workflows is described in the Privacy Policy available on the website.
By using the website, submitting information or using payment links, you acknowledge that TMA may process personal information for the purposes described in the Privacy Policy, including responding to enquiries, administering customer relationships, processing payments, securing the website, maintaining records and complying with applicable law.
If a customer engagement requires TMA to process personal information on behalf of the customer, the parties may need a separate data-processing agreement or project-specific privacy and security terms.
12. Third-Party Services, Integrations and Links
The website or TMA communications may refer to or link to third-party services, including payment providers, cloud providers, hosting providers, software platforms, analytics tools, collaboration tools, public registries, documentation sites or customer-selected vendors.
Third-party services are operated by their own providers and are subject to their own terms, privacy notices, service levels, security practices and fees. TMA is not responsible for third-party services except to the extent expressly stated in a written agreement with TMA.
Where a project depends on a third-party service, TMA is not responsible for failures, outages, policy changes, API changes, pricing changes, account restrictions, approval delays, data issues, security incidents or compliance issues caused by that third party unless a written agreement states otherwise.
13. No Regulated Financial, Legal or Other Professional Services
TMA is described on this website as a technology company. The website does not present TMA as providing banking, payment services, money transmission, brokerage, fund management, investment management, investment advice, custody, virtual-asset services, legal advice, tax advice, audit services or other regulated professional services.
Technology built, integrated, hosted or supported by TMA may be used by customers operating in regulated sectors. That does not mean TMA performs the regulated business activities of its customers or accepts responsibility for the customer's regulatory permissions, licensing, compliance programme or legal obligations.
Website content is general corporate and technical information only. You should obtain appropriate legal, tax, financial, regulatory, security or technical advice before relying on any matter for a regulated, high-risk or business-critical purpose.
14. Website Availability and Changes
TMA aims to maintain a professional and reliable website, but it does not guarantee that the website will always be available, uninterrupted, secure, error-free, current or compatible with every device, browser, system or jurisdiction.
TMA may update, suspend, withdraw, replace or restrict any part of the website without notice. TMA may also correct errors, update outdated information, revise service descriptions or remove content at any time.
The website may occasionally contain typographical errors, outdated information, broken links, technical issues or incomplete descriptions. TMA may correct these issues without liability.
15. Disclaimers
The website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, TMA disclaims all warranties, representations and conditions, whether express, implied, statutory or otherwise, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, non-infringement, security and uninterrupted operation.
TMA does not warrant that website content will meet your requirements, that defects will be corrected, that the website will be free from harmful components or that information on the website is suitable for your particular business, regulatory, procurement or technical needs.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
16. Limitation of Liability
To the maximum extent permitted by applicable law, TMA will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, loss of profit, loss of revenue, loss of goodwill, loss of business opportunity, loss of anticipated savings, loss or corruption of data, business interruption or reputational harm arising out of or relating to the website, website content, payment interactions or these Terms.
To the maximum extent permitted by applicable law, TMA's total aggregate liability arising out of or relating to the website, website content, payment interactions or these Terms will be limited to the amount you paid directly to TMA through the relevant website payment interaction giving rise to the claim, or AED 1,000 if no such amount was paid.
The limitations in this section apply whether the claim is based on contract, tort, negligence, strict liability, statute, equity or any other legal theory, even if TMA has been advised of the possibility of such damages.
17. Indemnity
You agree to indemnify, defend and hold harmless TMA, its affiliates, directors, officers, employees, contractors, providers and representatives from and against claims, losses, liabilities, damages, fines, penalties, costs and expenses, including reasonable legal fees, arising from your misuse of the website, breach of these Terms, violation of law, infringement of third-party rights, unauthorised submission of information, fraudulent payment activity or misuse of TMA content.
18. Suspension and Termination
TMA may suspend, restrict or terminate your access to the website or any website feature at any time where TMA reasonably considers it necessary for security, legal, compliance, operational, payment, fraud-prevention or business reasons.
Sections that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, confidentiality, privacy, payment obligations, disclaimers, limitation of liability, indemnity, governing law and dispute resolution.
19. Changes to These Terms
TMA may update these Terms of Use from time to time. The updated version will be posted on this page with a revised last updated date.
Your continued use of the website after updated Terms are posted means you accept the updated Terms. If you do not agree with updated Terms, you should stop using the website.
20. Governing Law and Disputes
These Terms of Use and any non-contractual obligations arising out of or in connection with them are governed by the laws applicable in the United Arab Emirates, unless a separate written agreement with TMA states otherwise.
Any dispute arising out of or relating to the website or these Terms should first be addressed by contacting TMA so the parties can attempt to resolve the matter in good faith. If the matter cannot be resolved informally, it will be handled according to the dispute-resolution forum and procedure available under applicable UAE law or as stated in the relevant written agreement between the parties.
Nothing in these Terms prevents TMA from seeking urgent injunctive or protective relief for misuse of the website, infringement of intellectual property, breach of confidentiality, security threats, fraud or unauthorised access.
21. General Provisions
If any provision of these Terms is found invalid, illegal or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.
TMA's failure to enforce a provision of these Terms does not waive its right to enforce that provision later. You may not assign or transfer rights or obligations under these Terms without TMA's prior written consent. TMA may assign or transfer its rights and obligations in connection with a corporate transaction, restructuring, merger, acquisition or transfer of business.
These Terms, together with the Privacy Policy and any applicable written agreement, invoice, checkout page or payment link terms, form the relevant terms governing your use of the website and related website interactions.
